Advertising Agreement

This Advertising Agreement (“Agreement”) is entered into by and between Shop Local Flyer (“Seller”) and the advertiser (“Purchaser”) for participation in the Shop Local community flyer and related marketing services. Last updated [9-19-25]

1. Campaign Schedule

• Seller will collect participants for a maximum of 45 days from the date the first ad is sold.

• Purchaser has (2 weeks) to complete artwork, either with the Seller’s graphic artist or by submitting their own finished artwork.

• Once all artwork is approved, the Seller has up to 30 days to print and distribute the flyer via the digital boosted Facebook campaign.

2. Ad Proofs & Artwork

• Purchaser will receive a proof for approval prior to printing. If no response is received by the final deadline of the artwork, the proof will be considered approved. Or if no artwork or materials have been submitted, we will not run an ad, and you can receive a 50% refund.

• Ad sizes are approximately 1150 x 825 px for the Facebook Flyer, and or 1200 x 1200 for the Spotlight Post.

• Purchaser is responsible for reviewing and approving all proofs, including spelling, images, logos, and QR codes. Once approved, Purchaser accepts full responsibility for the final ad.

3. Content Standards

• All advertisements must be family friendly.

• Seller reserves the right to reject any advertisement deemed immoral, indecent, offensive, misleading, or otherwise unfit for publication.

4. Payment & Refund Policy

• Full payment is due prior to artwork production and campaign launch.

• All sales are final. No refunds will be issued once payment is made, except for these exclusions.

• Or if no artwork or materials have been submitted, we will not run an ad, and you can receive a 50% refund.

• Unless Seller cancels or fails to distribute the advertising as outlined, Purchaser will be entitled to a full refund.

5. Distribution & Proof of Delivery

• Flyers & Spotlight Posts will be distributed via Facebook ads in the pre-selected town or surrounding area. Screenshots and ad performance metrics may be used as proof of delivery.

6. Revisions

• The purchaser is entitled to up to four revisions of their ad after initial creation. Additional revisions may incur extra charges.

7. Rights & Representations

• Purchaser warrants they have the legal right to use all content submitted (logos, images, trademarks, text, etc.).

• Purchaser agrees to indemnify and hold harmless Seller from any claims arising from the use of such content.

• Purchaser understands participation is non-exclusive; other advertisers may appear in the same flyer.

8. Seller’s Rights

• Seller may delay distribution if materials, availability, or circumstances outside their control require adjustment, with notice to Purchaser.

• Seller reserves the right to decline any advertiser or campaign at its sole discretion, with notice to Purchaser.

9. Agreement

• By submitting payment against the Seller’s invoice, Purchaser acknowledges and agrees to the terms of this Agreement. As stated on the footer of the paid invoice.
